Terms & Conditions
The plain-English terms on which Horizon provides its venue-intelligence service to your venue.
1.These terms, and who they are between
These Terms & Conditions (the “Terms”) govern your venue’s use of HORIZON. In these Terms, “Horizon”, “we” and “us” mean Mitchell James Parker and Peter Mercuri, trading as Horizon (interim operating vehicle: Peter Mercuri, ABN 51 371 377 898). “You” and “your venue” mean the hospitality business that uses Horizon, and the people who use it on the venue’s behalf. By connecting a system or using Horizon, your venue agrees to these Terms.
These Terms work alongside our Privacy Policy, which forms part of them. Where a signed agreement between Horizon and your venue — for example a Founding Venue Program Agreement or a Services Agreement — covers the same subject, that signed agreement prevails to the extent of any inconsistency.
We may update these Terms as the service changes. The current version is always published here with its effective date. Where a change materially affects your venue, we will tell connected venues before it takes effect.
2.The service
Horizon reads the systems your venue connects — point-of-sale, rostering, bookings and accounting — and turns them into live operational views, period-on-period comparisons, an analytics library, alerts, and a plain-English Ask that answers questions about your venue in ordinary language. The Ask feature is built and runs on a large language model (currently Anthropic’s Claude Haiku).
Integrations. Deputy is live today. The others are built and go live as the first venue on each system connects, then self-serve for every venue after:
- Deputy (rostering & labour) — connected and running today.
- Square, Lightspeed and Doshii (point-of-sale) — built; go live as the first venue on each connects, then self-serve.
- Xero (accounting & finance) — built; goes live as the first venue connects, then self-serve.
- NowBookIt (reservations) — built; goes live as the first venue connects, then self-serve.
We only read the systems you choose to connect.
We may add, change or remove features as Horizon develops. We describe the service by what it does today, not by a roadmap; where we mention something planned, we say so.
3.Access is read-only, and your data is yours
Read-only. Horizon’s access to your connected systems is read-only. We cannot and do not create, edit or delete anything in those systems.
No passwords. We never ask for, receive or store your account passwords. You grant access by adding our operator accounts as API users in your own system, or by issuing an API key from your account — and you can revoke it at any time.
Your data. As between you and us, your venue owns its data. We claim no ownership of it. We use it only to provide and support the service, as set out in these Terms and the Privacy Policy, and we do not sell it or use one venue’s data to advantage a competing venue.
Aggregated insights. We may use aggregated, de-identified information — from which no venue or individual can reasonably be identified — to run and improve the platform.
4.Trial, subscription and payment
Free trial. Horizon may be offered on a free trial or a free Founding Venue basis. We will tell you when a trial starts and how long it runs.
Subscription. After any trial, continued use is on a paid subscription. Indicative pricing is $59 per month plus a per-seat fee for additional users. These figures are indicative and to be confirmed — the price, inclusions and any per-seat rate that apply to your venue are the ones set out in your order or sign-up, and we will confirm them before your venue is charged.
Billing. Subscriptions are billed in advance for each period. Fees are stated in Australian dollars and, unless stated otherwise, are exclusive of GST, which is added where it applies.
Price changes. We may change our prices. For an existing paying venue we will give reasonable notice before a change applies to your next renewal, and you can cancel before it takes effect.
Non-payment. If a subscription payment is not made when due, we may suspend access after reasonable notice, and the cancellation and deletion terms in section 8 apply.
5.Your responsibilities
Authorised connections. You will only connect systems your venue is entitled to connect, and you are responsible for the access you grant and for keeping your own credentials secure.
Staff awareness. Some connected data — rostering, for example — concerns your staff. You are responsible for making your staff aware their data is used for operational reporting, as described in the Privacy Policy.
Acceptable use. You will use Horizon lawfully and will not attempt to breach its security, access another venue’s data, reverse-engineer the platform, or resell it without our agreement.
Your account. You are responsible for activity under your team’s logins and for keeping those logins confidential.
6.Availability and no warranty
We work to keep Horizon available and its outputs accurate, but we provide the service “as is” and “as available”. We do not warrant that it will be uninterrupted or error-free, or that every figure or insight is complete or correct — Horizon reflects the data your connected systems provide, and depends on those systems and their APIs.
Horizon’s views and answers are decision-support, not a substitute for your own records, your own checks, or professional advice. To the extent permitted by law, we exclude all warranties not expressly set out in these Terms.
7.Not financial advice, and limitation of liability
Not advice. Horizon surfaces and explains information about your venue. It is not accounting, tax, legal, investment or financial advice, and nothing it shows is a recommendation to take a particular financial decision. Decisions about your business are yours; obtain professional advice where you need it.
Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where our liability for a failure to comply with a consumer guarantee can be limited, it is limited (at our option) to re-supplying the service or paying the cost of having it re-supplied.
Limitation. To the maximum extent permitted by law, and subject to clause 7.2: we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, data, goodwill or business opportunity; and our total aggregate liability arising out of or in connection with the service is capped at the fees your venue paid us in the 12 months before the event giving rise to the claim (or, during a free trial or free Founding Venue period, at AUD $100).
8.Cancellation and data deletion
You can cancel. Your venue can stop using Horizon at any time by disconnecting your systems or telling us at hello@joinhorizon.net. Cancellation takes effect at the end of your current paid period; fees already paid for that period are not refunded unless the law requires it.
We can end it. We may suspend or end the service on reasonable notice — for example for non-payment, a breach of these Terms, or if we stop offering Horizon.
Deletion. When your venue disconnects, cancels, or its subscription ends for non-payment, we delete your venue data within 30 days and confirm in writing, as set out in the Privacy Policy. On request before deletion, we will help you export your data. Some data may persist briefly in routine encrypted backups until they age out, and we keep aggregated, de-identified information and any records the law requires us to keep.
9.Confidentiality
Each of us may learn confidential information about the other. We each agree to keep the other’s confidential information confidential and to use it only to provide or use the service. Your venue’s data is your confidential information, and we treat it that way — see the Privacy Policy for how we secure it.
10.General
Governing law. These Terms are governed by the laws of South Australia, Australia, and you and we submit to the courts of that place.
Assignment. You may not transfer these Terms without our consent. If Horizon is incorporated, restructured or sold, we may transfer these Terms to the incoming entity, which will be bound by them or by terms no less protective, and we will tell affected venues.
Whole agreement. These Terms and the Privacy Policy — together with any signed agreement between us — are the whole agreement about the service. If any part is unenforceable, the rest continues in force.
